1. General
1.1 The website eyalmed.com (the "Website") is operated by Eyal Medical Equipment Ltd., company no. 517084554, of 7 Tkhiya St., Pardes Hanna-Karkur (the "Company"), and serves as a catalog and ordering website for medical and veterinary equipment.
1.2 Using the Website, registering on it and placing an order through it constitute acceptance of these terms and of the privacy policy, which forms an integral part of them. Anyone who does not accept the terms is asked not to use the Website.
1.3 The Website is intended mainly for professionals, clinics, institutions and businesses. Use of the Website is permitted to persons aged 18 or over who have legal capacity to enter into binding transactions, and, on behalf of a corporation, to persons authorized to bind it.
2. Products and information on the Website
2.1 The Company makes an effort to present accurate and up-to-date information. However, product images are for illustration only, and there may be differences between the image and the actual product. The binding specification is the manufacturer's specification.
2.2 If a clerical error occurs in a product description or price, the Company may correct it, and the error will not bind the Company.
2.3 The information on the Website is not, and does not replace, medical, veterinary or professional advice. The choice of a product, its suitability for its purpose and its use are the customer's responsibility and must follow the manufacturer's instructions.
2.4 Medical equipment is marketed subject to applicable law, including the Medical Equipment Law, 5772-2012. Certain products will be sold only to holders of an appropriate license or permit, and the Company may require supporting documents and refuse a sale in their absence.
2.5 The Website does not show stock levels. Showing a product on the Website is not a commitment to its availability.
3. Prices
3.1 Prices on the Website are in new Israeli shekels and do not include VAT unless stated otherwise. The product page, the cart and the order summary also show the price including VAT at the lawful rate.
3.2 A product whose price is not shown ("price on quote") will be priced in a personal price quote.
3.3 A registered customer logged in to the personal area will see the prices and discounts that apply to them.
3.4 The Company may update prices at any time. An order is subject to the price shown when it was sent, subject to Section 2.2.
3.5 Prices do not include transport, installation, training or related services unless stated otherwise; these will be detailed in the price quote or the order confirmation.
4. Orders and conclusion of the transaction
4.1 The Website has no online payment. Sending an order on the Website is an offer by the customer to purchase the products and does not bind the Company until it is confirmed.
4.2 After receiving the order, the Company will contact the customer to confirm the details, availability, payment terms, delivery date and transport cost. The transaction is concluded only upon the Company's confirmation: a price quote approved by the customer, an order confirmation or the issue of an accounting document.
4.3 The Company may decline an order, in whole or in part, among other things if the product is unavailable, if there was an error in the price or description, if the details provided are incorrect or incomplete, or if the customer does not meet the legal requirements for purchasing the product.
4.4 The customer must provide correct and complete details. Providing false details is prohibited and may constitute an offense.
4.5 Payment methods and terms will be agreed between the parties. Ownership of the products passes to the customer only after full payment.
5. Coupons and discounts
5.1 A coupon code is redeemed by entering it in the cart or on the order page, subject to its terms: validity period, minimum order amount, total number of redemptions, number of redemptions per customer, and restriction to registered customers.
5.2 The coupon discount is calculated from catalog prices before VAT. Discounts do not combine: a coupon and a customer's personal discount are not cumulative, and the higher of the two applies.
5.3 A coupon cannot be exchanged for cash. If an order is cancelled, the redemption is returned to the coupon. The Company may cancel a coupon that has been used unlawfully.
6. Delivery
6.1 Delivery will be made to the address coordinated with the customer, within the time given in the order confirmation. Delivery dates for imported equipment depend on availability at the manufacturer and on shipping and customs clearance, and are estimates.
6.2 The Company will not be liable for delay caused by reasons beyond its control, including force majeure, the security situation, strikes, and manufacturer, shipping and customs delays.
6.3 The customer must inspect the products on receipt and notify the Company in writing, within a reasonable time, of any damage, shortage or non-conformity.
7. Warranty and service
7.1 The products carry the manufacturer's or importer's warranty for the period stated on the product page, in the price quote or in the warranty certificate, subject to its terms.
7.2 The warranty does not apply to damage caused by use contrary to the manufacturer's instructions, by repair or modification by an unauthorized party, by electrical network faults, by intentional damage or negligence, or to consumable parts, unless stated otherwise.
7.3 A customer who is a "consumer" as defined in the Consumer Protection Law, 5741-1981, will have the rights under that law and under the Consumer Protection (Warranty and After-Sales Service) Regulations, 5766-2006, to the extent they apply.
8. Cancellation of a transaction
8.1 A customer who is a "consumer" as defined in the Consumer Protection Law (a person buying mainly for personal, household or family use) may cancel a distance sale under Section 14C of the Law: from the date of the transaction until 14 days from receipt of the product or from receipt of the document setting out the transaction details, whichever is later. A consumer who is a person with a disability, a senior citizen (aged 65 or over) or a new immigrant may cancel within four months from the date of the transaction, receipt of the product or receipt of the document setting out the transaction details, whichever is later, provided that the transaction included a conversation between the Company and the consumer, including by electronic means of communication.
8.2 On cancellation not due to a defect or non-conformity, the Company may charge a cancellation fee of 5% of the product price or ₪100, whichever is lower. The product will be returned to the Company at the customer's expense, where possible in its original packaging, complete and undamaged. The Company will refund the consideration paid within 14 days of receiving the cancellation notice, less the cancellation fee where applicable.
8.3 The right of cancellation does not apply in the cases set by law, including: perishable goods; products made or ordered specially for the customer; products that can be recorded, copied or duplicated whose packaging has been opened; and products that, for hygiene and safety reasons, cannot be returned after their packaging has been opened, to the extent the law permits.
8.4 Notice of cancellation may be given in any of these ways: by phone 058-666-6661, by email office@eyalmed.com, by registered mail to the Company's address, or through the contact form on the Website, stating the customer's name and the order or document number.
8.5 A customer who is not a "consumer" (a business, clinic, corporation or professional buying for business purposes): cancellation of an order or return of a product only with the Company's prior written consent and on the terms it sets. Equipment specially ordered from abroad for the customer cannot be cancelled once it has been ordered from the manufacturer.
8.6 If a transaction is cancelled due to a defect, non-conformity or failure to deliver on time, the customer will be refunded the full amount paid, without a cancellation fee.
9. Personal area
9.1 Registration for the personal area is intended for doctors, clinics and businesses and is subject to the Company's approval. The Company may reject a registration request, and may suspend or close a personal area at its discretion, in particular due to incorrect details or misuse.
9.2 The customer is responsible for keeping the password confidential and for any action taken in their account, and must notify the Company immediately of any suspected unauthorized use.
9.3 Details in the personal area are shown read-only; details are updated by contacting the Company.
10. Intellectual property
All intellectual property rights in the Website, including the design, texts, images, marks, logo and code, belong to the Company or to third parties who have permitted it to use them. The Website's content may not be copied, reproduced, distributed, published or used commercially without the Company's prior written consent. Product names and manufacturers' trademarks belong to their owners.
11. Prohibited use
The Website may not be used for any unlawful purpose; information may not be collected from it by automated means without permission; no attempt may be made to break into its systems, disrupt its operation or bypass its security mechanisms; and no offensive, false or infringing content may be entered on it.
12. Limitation of liability
12.1 The Website is provided for use as is (AS IS). The Company does not undertake that the Website will operate without interruptions, faults or errors, and will not be liable for damage caused by its unavailability.
12.2 Subject to any law, the Company's liability in connection with a transaction is limited to direct damage only and will not exceed the consideration actually paid for the product that is the subject of the claim. The Company will not be liable for indirect or consequential damage, including loss of income or profit.
12.3 Nothing in the above limits liability that cannot be limited by law, including under the Defective Products Liability Law, 5740-1980, and the Consumer Protection Law.
13. Privacy
Personal information will be used in accordance with the privacy policy published on the Website.
14. Changes
The Company may change these terms, the structure of the Website, its content and the products offered on it at any time. The binding version is the version published on the Website when the order is sent.
15. Governing law and jurisdiction
These terms and any transaction made through the Website are governed solely by the laws of the State of Israel. Exclusive jurisdiction is vested in the competent courts of the Haifa District, subject to mandatory provisions of law.
